By accessing or using the products and services provided by dflux Technologies ("dflux", "we", "us", or "our"), including dflux Runner, dflux EdgeGuard, dflux TinyCore, and our website (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

dflux provides tooling for 5G Standalone networks, including a protocol load and conformance tester, a signaling proxy for 5G SBI and 4G Diameter, and a small 5G core for labs. Our Services are designed for telecommunications professionals, network engineers, and organizations building, testing, or operating 5G and 4G networks.

3. Account Registration

Some features of our Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. License and Usage

Subject to these Terms, dflux grants you a non-exclusive, non-transferable, revocable license to use our Services in accordance with your subscription plan. Free tier users may use the Services for evaluation and non-commercial purposes. Commercial use requires a valid commercial license. You may not sublicense, resell, or redistribute our software without prior written consent.

You agree not to: use the Services for any unlawful purpose or in violation of any applicable laws or regulations; attempt to reverse engineer, decompile, or disassemble any part of the Services; interfere with or disrupt the integrity or performance of the Services; attempt to gain unauthorized access to any systems or networks connected to the Services; use the Services to develop a competing product or service; or remove or alter any proprietary notices or labels on the Services.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, documentation, designs, logos, and trademarks, are owned by dflux Technologies or its licensors. These Terms do not grant you any rights to use dflux trademarks, trade names, or logos without prior written consent. Any feedback, suggestions, or ideas you provide about our Services may be used by dflux without obligation to you.

7. Payment and Billing

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as expressly stated in your subscription agreement. dflux reserves the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your access to the Services.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of any data you upload or generate using our Services. dflux will not access your data except as necessary to provide the Services, respond to support requests, or as required by law.

9. Warranties and Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. dflux does not warrant that the Services will be uninterrupted, error-free, or secure. You use the Services at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, dflux shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Services, regardless of the theory of liability. dflux's total liability shall not exceed the amount paid by you for the Services in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless dflux Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate these Terms at any time. dflux may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall continue in effect.

13. Modifications

dflux reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
